Summary
We’ll always do our best to fulfill your needs and meet your expectations, but it’s important to
have things written down so that we both know what’s what, who should do what and when, and
what will happen if something goes wrong. In this contract, you won’t find any complicated
legal terms or long passages of unreadable text. We’ve no desire to trick you into agreeing to
something that you might later regret. What we do want is what’s best for both parties, now and
in the future.
So in short;
You (client) are hiring us (AV Legal Counsel) located in Pune Maharashtra to give legal advice,
execution/ registration of documents, drafting of legal documents or other Legal Services
relating to Legal Domain.
What do both parties agree to do?
- You:* You have the authority to enter into this contract on behalf of yourself, your company or your organization. You’ll give us everything we need to complete the Legal Task/Work allotted to Us, as and when and in the format we need it. You’ll review our work, provide feedback and approval in a timely manner too. Deadlines work two ways, so you’ll also be bound by dates we set together. You also agree to stick to the payment schedule set out at the time of giving the contract.
- *Us:* We have the experience and ability to do everything we’ve agreed with you and we’ll do it all in a professional and timely manner. We’ll endeavor to meet every deadline that’s set and on top of that we’ll maintain the confidentiality of everything you give us.
Conditions for use
- The use of this Website does not amount to the creation of an attorney-client relationship. Any transmission, receipt or use of this Website and information and materials contained therein, or sending an e-mail to our offices, will not create or constitute an attorney-client relationship.
- Users should make themselves aware of the laws of their respective country or those applicable to them in relation to any of the matters described in these pages. If the User chooses to access the Website then it shall be deemed to be done on his/ her own initiative and he/she shall be held responsible for compliance with applicable local, national or international laws.
Confidentiality
AV Legal Counsel will treat all information provided by you i.e. User(s)
including but not limited to information regarding User’s name, address, telephone
number, date of birth, gender, e-mail address, organization, etc. (“Personal
Information”) confidential. AV Legal Counsel will not in the ordinary course disclose
any Personal Information to any third parties except in the following circumstances:
- Where AV Legal Counsel is compelled to do so under applicable law/ judicial process/ governmental authorities; or
- Where User has provided his/her prior written authorization to do so; or
- Where it is in the public interest to do so.
User(s) may not use or export or re-export any information or any copy or adaptation
thereof available on this Website in violation of any applicable laws or regulations,
including export laws and regulations in force from time to time.
Compliance
- The user’s will be solely responsible for providing the necessary documents and/or information including records, reports, supporting documents, and other relevant documents etc. that are to be provided to AV Legal Counsel. Inadequate and ineffective compliance documents can expose you to enormous risk as it hinders our ability to assess the situation dynamically.
- Further AV Legal Counsel will not be liable for any loss, damage, etc. incurred by you due to the inadequate and ineffective information and documents (whether the requisite information and documents is requested from you by us or not) supplied by you.
Jurisdiction
- AV Legal Counsel causes the control and maintenance of this Website from India. AV Legal Counsel makes no representations that the information and material contained in this Website are appropriate or permitted for use in jurisdictions outside India.
- The Terms are governed by the Laws of the Republic of India without giving effect to any principles of conflicts of Laws.
Warranties
- AV Legal Counsel and its members, affiliates, employees and authorized representatives provide the Website and the information on an “as is” basis and do not make any express or implied warranties, representations, endorsements or conditions with respect to the Website or the information, including without limitation, warranties as tonon-infringement, usefulness, completeness, accuracy, correctness, reliability and fitness for a particular purpose.
- Further, AV Legal Counsel does not represent or warrant that the Website will be available or will meet the User(s) requirements, that access will be uninterrupted, that there will be no delays, failures, errors or omissions or loss of transmitted information, that no viruses or other contaminating or destructive properties will be transmitted or that no damage will occur to User’s computer system. The User has the sole responsibility for adequate protection and backup of data and/or equipment and to take reasonable and appropriate precautions to scan for computer viruses or other destructive properties.
Liability
- AV Legal Counsel is not responsible for and will not be liable to the User or anyone else for any damages or other amounts whatsoever (including but not limited to direct, indirect, incidental, special, consequential, exemplary or punitive damages) arising out of or in connection with User’s use of or inability to use the Website or the information contained therein, or any action or decision made by User in reliance on the Website or the information contained therein, or any unauthorized use or reproduction of the Website or the information therein, even if AV Legal Counsel has been advised of the possibility of these damages.
- The User understands that the Website is used by him/her solely at his/her own risk, costs, consequences and liability.
Termination
- The User agrees that AV Legal Counsel with or without any reason, may immediately terminate his/her access to the Website without prior notice. Without limiting the foregoing, AV Legal Counsel may terminate or temporarily suspend his/her access to the Website if he/she (a) Breaches or violates these Terms, (b) There is a request by Law Enforcement or Other Government Agencies, or (c) I n case of unexpected technical issues or problems.
- Users agree that all terminations of access to the Website shall be made at the sole discretion of AV Legal Counsel, and that AV Legal Counsel shall not be liable in any manner whatsoever to either him/ her or any third-party for any termination of access to this Website.
Changes and revisions
- We know from experience that fixed-price contracts are rarely beneficial to you, as they often limit you to your earliest ideas. We don’t want to limit your ability to change your mind. The price at the beginning of this contract is based on the length of time we estimate we’ll need to accomplish everything you’ve told us you want to achieve, but we’re happy to be flexible. If you want to change your mind or add anything new, that won’t be a problem as we’ll provide a separate estimate for that.
Legal stuff
- We can’t guarantee that our work will be error-free and so we can’t be liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you’ve advised us of them. Finally, if any provision of this contract shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this contract and shall not affect the validity and enforceability of any remaining provisions.
Payments
- We’re sure you understand how important it is as a Profession/Business that you promptly pay the invoices that we send you. As we’re also sure you’ll want to stay friends, you agree to stick tight to the payment schedule we’ve discussed. Once the first deposit has been made, we do not offer refunds.
- You can’t transfer this contract to anyone else without our permission. This contract stays in place and need not be renewed. If for some reason one part of this contract becomes invalid or unenforceable, the remaining parts of it remain in place.
Although the language is simple, the intentions are serious and this contract is a legal document
and subject to the jurisdiction of Courts within the City of Pune, Maharashtra, India Only.
